These Terms of Service (“Terms”) govern your engagement of MB TECH GROUP LTD (“we”, “us”, “our”) for software development and IT consultancy services.

1. Services

We provide business and domestic software development (SIC 62012) and IT consultancy (SIC 62020). The scope, deliverables, timeline and fees will be set out in a written proposal, statement of work or order (the “Order”).

2. Engagement & Changes

Your acceptance of an Order forms a contract incorporating these Terms. Changes to scope, schedule or assumptions may adjust fees and timelines; we will confirm changes in writing.

3. Fees & Payment

  • Fees may be fixed-price, time & materials, or packages as listed on our site.
  • Invoices are payable within 7 days unless stated otherwise in the Order.
  • On-site work across the UK is available. Travel beyond 10+ km from our base is billed separately by mutual agreement.
  • Taxes, third-party licenses and platform charges (if any) are payable by the client.
  • Late payments may accrue interest at the statutory rate and may pause delivery.

4. Client Responsibilities

  • Provide timely access to information, systems and decision-makers.
  • Ensure you have rights to all materials you supply to us.
  • Review and accept deliverables without undue delay.
  • Maintain appropriate backups and security on your systems.

5. Delivery & Acceptance

We deliver in short iterations with demos. Unless issues are reported within 5 business days of delivery, the deliverable is deemed accepted.

6. Intellectual Property

Upon full payment, we assign to you all IP in the final deliverables (excluding any pre-existing tools, libraries or open-source components, which remain under their respective licenses). We grant you a non-exclusive licence to use our pre-existing materials solely as embedded in the deliverables.

7. Confidentiality

Each party must protect the other’s confidential information and use it only for performing the Order.

8. Data Protection

Each party will comply with applicable data protection laws. Where we process personal data on your behalf, a separate data processing agreement may apply.

9. Warranties

We will perform services with reasonable care and skill. Except as expressly stated, services and deliverables are provided “as is” without warranties of merchantability or fitness for a particular purpose.

10. Liability

Nothing excludes liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law. Subject to the foregoing, our aggregate liability arising out of or in connection with the services is limited to the total fees paid by you for the services giving rise to the claim in the 12 months preceding the claim.

11. Termination

Either party may terminate for material breach if not cured within 14 days after written notice. On termination, you will pay for work performed up to the termination date.

12. Publicity

We may list your name and logo as a client and include a short, non-confidential project description unless you object in writing.

13. Governing Law

These Terms and any non-contractual obligations are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
